SmartInterview Terms of Service

Welcome to SmartInterview. These Terms of Service ("Terms") govern your access to and use of the SmartInterview platform, website, applications, APIs and related services (collectively, the "Services"), provided by Pulse Partners SARL ("SmartInterview", "Pulse Partners", "we", "our", or "us"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

2. Eligibility and Accounts

Subject to these Terms, SmartInterview grants you a limited, non-exclusive, non transferable and revocable right to access and use the Services for your internal business purposes.


You may not:


• Copy, reproduce, modify or create derivative works of the Services;

• Reverse engineer, decompile or attempt to discover the source code of the Services;

• Use the Services to build competing products or services;

• Remove proprietary notices or intellectual property markings;

• Interfere with the security, integrity or operation of the Services.

4. Acceptable Use



You agree not to use the Services to:


• Violate any applicable law or regulation;

• Upload malicious software, viruses or harmful code;

• Infringe intellectual property rights;

• Process data unlawfully;

• Generate fraudulent, deceptive, discriminatory, abusive or harmful content;

• Conduct unlawful surveillance or monitoring activities;

• Access systems, accounts or data without authorization.


SmartInterview reserves the right to suspend or terminate accounts that violate these provisions.



5. Customer Content and Ownership



Customers retain all ownership rights in:


• Surveys;

• Questionnaires;

• Interview guides;

• Uploaded files;

• Audio recordings;

• Video recordings;

• Transcripts;

• Responses;

• Reports;

• Research outputs;

• Analytics results;

• Any data collected through the Services.


SmartInterview acquires no ownership rights over Customer Content. You represent and warrant that you possess all rights necessary to upload and process such content through the Services.



6. License Granted to SmartInterview



To provide the Services, you grant SmartInterview a limited, worldwide, non-exclusive and royalty-free license to:


• Host;

• Store;

• Process;

• Analyze;

• Transmit;

• Display; Customer Content solely for:

• Delivering the Services;

• Providing customer support;

• Maintaining platform security;

• Generating requested analytics and reports;

• Complying with legal obligations.


This license terminates when the relevant data is deleted, subject to legal retention obligations.



7. Artificial Intelligence Services



The Services use artificial intelligence and machine learning technologies to:


• Generate questions;

• Conduct conversational interviews;

• Create summaries;

• Classify responses;

• Identify themes and sentiments;

• Produce reports and recommendations. You acknowledge that:

• AI-generated outputs may contain inaccuracies;

• Results may not always be complete, current or error-free;

• Human review remains necessary before making important decisions.


SmartInterview shall not be responsible for decisions made solely on the basis of AI generated outputs. The Services must not be used as the sole basis for medical, legal, regulatory, financial, employment or other high-risk decisions.



8. Data Protection and Privacy



SmartInterview processes personal data in accordance with applicable data protection laws, including:


• The Swiss Federal Act on Data Protection (nLPD);

• The General Data Protection Regulation (GDPR), where applicable.


For most customer projects, the Customer acts as the Data Controller and SmartInterview acts as the Data Processor. The Customer is responsible for:


• Determining the legal basis for processing;

• Obtaining any required consents;

• Providing privacy notices to respondents;

• Ensuring lawful collection of personal data.


Our data handling practices are described in our Privacy Policy.



9. Voice Recordings and Transcriptions



The Services may collect, process and analyze:


• Voice recordings;

• Video recordings;

• Speech-to-text transcriptions;

• Metadata associated with interviews.


Customers are responsible for informing participants that recordings, transcriptions and AI-based analysis may occur when required by applicable law. SmartInterview is not responsible for obtaining respondent consent on behalf of Customers.



10. AI Training and Model Improvement



Customer data is not used to train third-party foundation models without explicit authorization from the Customer.


SmartInterview may use anonymized and aggregated operational data for:


• Security monitoring;

• Product improvement;

• Statistical analysis;

• Service optimization;


provided such information cannot reasonably identify any individual or Customer.



11. Confidentiality



Each party agrees to keep confidential all non-public information disclosed by the other party.


Confidential information shall not be disclosed to third parties except:


• To authorized employees, contractors or advisors who require access;

• Where required by law;

• With prior written consent.


These obligations survive termination of the relationship.

12. Third-Party Services



The Services may integrate with third-party providers including cloud infrastructure, email providers, analytics providers and AI service providers.


SmartInterview is not responsible for the content, availability or practices of third-party services.


Your use of such services may also be subject to their respective terms and policies.



13. Fees and Payments



Subscription fees and service fees are payable according to the applicable order form, proposal, quotation or subscription plan.


Unless otherwise specified:


• Fees are non-refundable;

• Payments are due according to agreed payment terms;

• Late payments may result in suspension of Services.

14. Publicity



SmartInterview shall not use a Customer's name, logo, testimonial, case study or branding materials without prior written consent.



15. Suspension and Termination



SmartInterview may suspend or terminate access to the Services if:


• These Terms are violated;

• Payment obligations are not fulfilled;

• Continued access creates legal, security or operational risks.


Upon termination:


• Access to the Services will cease;

• Data export options may remain available during an applicable retention period;

• Certain provisions of these Terms will survive termination.


16. Disclaimer of Warranties                  

                                                                                        

The Services are provided on an "as is" and "as available" basis.


To the fullest extent permitted by law, SmartInterview disclaims all warranties, whether express or implied, including:


• Merchantability;

• Fitness for a particular purpose;

• Non-infringement;

• Availability;

• Accuracy of results.


We do not guarantee uninterrupted or error-free operation.          


17. Limitation of Liability


To the maximum extent permitted by law, SmartInterview shall not be liable for:


• Indirect damages;

• Consequential damages;

• Loss of profits;

• Loss of revenue;

• Loss of goodwill;

• Loss of data.


SmartInterview's total aggregate liability arising out of or relating to the Services shall not exceed the total fees paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.


18. Indemnification


You agree to defend, indemnify and hold harmless SmartInterview, Pulse Partners SARL, their officers, employees and affiliates against claims arising from:


• Your violation of these Terms;

• Your unlawful use of the Services;

• Your infringement of third-party rights.


19. Changes to the Terms


SmartInterview may modify these Terms from time to time.


Material changes will be communicated through the platform, website or email.


Continued use of the Services after such modifications constitutes acceptance of the revised Terms.


20. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Martigny, Canton of Valais, Switzerland.
